The agreement
These terms are between you and [Your registered company name], which operates ClientPerch. Using the service means you accept them. If you are agreeing on behalf of a company, you confirm you may bind it.
What the service does
ClientPerch reads publicly accessible pages of a website you nominate, scores them against a fixed set of checks, and produces a report. It also searches public business listings to help you find prospects.
The report is an automated opinion, not professional advice. Scores are produced by rules we chose and weightings we set. Where a check cannot be completed, the report says so rather than guessing. Acting on a recommendation is your decision, and we do not guarantee any commercial outcome from it, including that anyone will buy anything.
Trials, plans and payment
- -Every plan starts with a 7-day trial. A payment method is required to begin it. One trial per account, not one per plan.
- -Cancel before the trial ends and you are not charged. Otherwise billing starts at the plan price and renews each month or each year, matching the period you chose, until cancelled.
- -Current prices are $29, $59 and $129 per month, or $290, $590 and $1290 per year. See the pricing page for what each includes.
- -Payment is handled by Stripe. Cancel any time through the billing portal; access continues to the end of the period you have paid for.
- -We may change prices with at least 30 days' notice by email. Continuing after that means accepting the new price.
Scan allowances
- -Each plan includes a number of scans per billing period. The counter resets when the period renews.
- -A failed scan does not use an allowance. If a site cannot be reached, blocks automated visitors, or times out, the credit is returned automatically.
- -One scan covers one website, however many of its pages we crawl. Re-scanning the same site later uses another.
- -Unlimited allowances are subject to fair use. Sustained automated volume well beyond normal agency use may require a different arrangement, and we will talk to you before taking any action.
What you must not do
- -Scan a website in order to attack, overload, or disrupt it, or to look for security weaknesses to exploit.
- -Use prospect data collected here for unlawful outreach. Marketing and data protection rules (consent, opt-out, identification) apply to you, and honouring an opt-out is your obligation.
- -Resell raw scan output as your own product, as opposed to using reports with your clients. White-label features exist precisely so you can put your brand on client-facing reports.
- -Share API keys or account access outside your organisation, or work around plan limits.
- -Present a report as something it is not, for example as a security audit, a legal compliance certificate, or a guarantee of ranking.
We may suspend an account that does any of these, and will tell you why.
Your content and ours
You keep ownership of what you upload: your branding, your prospect lists, your notes. You grant us only the permission needed to run the service: to store that content, and to display your branding on reports you generate and share.
We keep ownership of the service itself: the scoring engine, the rules, the report format, and the software. Reports you generate are yours to use with your clients.
Availability
We aim to keep the service running but do not promise uninterrupted availability. Scans depend on third-party services (Google's APIs, hosting, the responsiveness of the site being scanned) and those can fail independently of us. Planned maintenance will be announced where we reasonably can.
Liability
The service is provided as is. To the extent the law allows, we are not liable for lost profits, lost business, or indirect losses arising from your use of it or from decisions made on the strength of a report.
Where liability cannot be excluded, it is limited to the amount you paid us in the twelve months before the claim. Nothing here limits liability for fraud, death or personal injury caused by negligence, or anything else that cannot lawfully be limited.
Ending the agreement
Cancel any time through the billing portal. We may end the agreement with 30 days' notice, or immediately for a serious breach of these terms. On termination you can export your reports for 30 days, after which we may delete them.
Governing law
These terms are governed by the law of [South Africa], and its courts have exclusive jurisdiction over any dispute. We would much rather sort a problem out by email first: [support@yourdomain.com].
